Hathor Exploration Limited to Acquire Terra Ventures Inc.

NOT FOR DISTRIBUTION TO U.S. NEWS WIRE SERVICES OR DISSEMINATION IN THE UNITED STATES.

Hathor Exploration Limited (TSX: HAT) ("Hathor") and Terra Ventures Inc. (TSX-V: TAS) ("Terra") today jointly announce that they have executed a binding letter agreement (the "Agreement") pursuant to which Hathor will acquire, in an all-share transaction, all of the issued and outstanding shares of Terra by way of a plan of arrangement (the "Arrangement").

The synergy of this proposed transaction is underscored by the shared nature of the core assets of the two companies. The Arrangement consolidates a 100% interest in the Roughrider uranium deposit and an approximate 98% interest in the large and prospective Russell Lake exploration project, located at either end, respectively, of the prolific eastern corridor of the Athabasca Basin.

Hathor Extends Roughrider Uranium Mineralization Eastward

Hathor Exploration Limited (TSX VENTURE: HAT) is pleased to announce assay results from drill hole MWNE-11-667, the first complete set of drill hole assays received from the ongoing 2011 winter drill program at the Company's Roughrider project in the Athabasca Basin, Saskatchewan. Some 15,000 metres are planned for the three rig program, which will continue until the end of the winter season (Figure 1).

Drill hole MWNE-11-667 has intersected significant new uranium mineralization 40 m to the east of the East Zone, as it is currently defined by 2010 drilling. The East Zone now has uranium mineralization in drill holes across 200 m. This new intersection is the most easterly mineralization discovered to date in the overall "Roughrider System" (Figure 2), and mineralization remains open to the east.

Macusani Yellowcake Announces More High Grade Intersections at Kihitian Uranium Property, Peru: 8.0 Metres at 0.53% U3O8 (10.6 Pounds Per Ton)

Macusani Yellowcake Inc. (the "Company") (TSX VENTURE: YEL)(FRANKFURT: QG1) is pleased to announce that drilling from the ongoing exploration program on Chilcuno zone on the Kihitian uranium property on the Macusani Plateau, Peru, has intersected additional shallow, high-grade uranium values with an intersection of 8.0 metres with weighted average grades of 0.53% U3O8 (10.6 lbs/ton). Details are shown in the table below.

These intercepts are interpreted as the extensions of the adits done by IPEN during 1980s at Chilcuno Chico and sampled by the Company during 2009 and published on the 13th of January, 2010 with grades of up to 10% U3O8 as channel samples.

Hathor Intersects 10.5% U308 over 16.5 m at Roughrider East and the Roughrider Zone is Bolstered by Additional Mineralization

Hathor Exploration Limited (TSX VENTURE: HAT) is pleased to provide the final chemical assays for its 2010 summer drill program on it's Midwest Northeast Property, Athabasca Basin, Saskatchewan. Key results include:

-- high grade intersections at Roughrider East which extend the strike length of deposit to 160 m, including a high grade core over 100 metres.

-- The Roughrider deposit itself has been bolstered by new mineralization intersected outside the extents of the recently upgraded resource of 28 Mlbs U3O8 including 24 M lbs at 11.7% U3O8 average grade (see News Release dated Nov. 30, 2010). The extension is not material.
