Major Chinese 3G Operator Chooses RADCOM to Monitor Their 3G Data Network

RADCOM Ltd. (NASDAQ: RDCM) today announced that a major Chinese 3G mobile service provider has chosen RADCOM's Omni-Q Service Assurance solution to monitor their 3G network. This is the one of the first monitoring solutions introduced for 3G mobile data in China.

This operator is a pioneer of 3G high-speed wireless broadband services. They have to cope with the challenge of a rapidly growing network, resulting from the huge success of mobile broadband in China. The challenges included maintaining a high level of Quality of Service despite the increasing demands of a data network.

Windstream to Acquire Iowa Telecommunications Services, Inc.

Windstream Corporation (NYSE: WIN) announced today that it has entered into a definitive agreement to acquire Iowa Telecommunications Services, Inc. (NYSE: IWA), based in Newton, Iowa, in a transaction valued at approximately $1.1 billion.

Iowa Telecom shareholders will receive 0.804 shares of Windstream stock and $7.90 in cash per each Iowa Telecom share under terms of the agreement approved by the boards of directors of both companies. Windstream expects to issue approximately 26.5 million shares of stock valued at approximately $269 million, based on the company’s closing stock price on Nov. 23, 2009, and pay approximately $261 million in cash as part of the transaction. Windstream also will repay estimated net debt of approximately $598 million. Windstream intends to finance the cash portion of the transaction and the repayment of Iowa Telecom’s outstanding indebtedness with the proceeds from a debt financing or additional bank borrowings.

KPN B.V. ("KPN") and iBasis, Inc. (NASDAQ: IBAS) ("iBasis") today announced that they have entered into a settlement agreement under which KPN will make a last and final increase of its offer for the outstanding shares in iBasis not otherwise held by KPN to $3.00 per share in cash. The Special Committee of iBasis's Board of Directors has unanimously approved the agreement and recommends that iBasis stockholders tender their shares in KPN's tender offer.

Sprint Nextel to Acquire Wireless Affiliate iPCS, Inc.

 
Sprint Nextel Corp. (NYSE: S) and iPCS, Inc. (NASDAQ: IPCS) today announced an agreement for Sprint Nextel to acquire iPCS for approximately $831 million, including the assumption of $405 million of net debt. This transaction value represents 6.4x projected 2010 Adjusted Earnings Before Income, Taxes, and Depreciation (“Adjusted EBITDA”*). Sprint expects to achieve approximately $30 million of synergies annually in the transaction and expects the transaction to be free cash flow accretive to Sprint in 2010.

Under the terms of the agreement, Sprint Nextel will commence a cash tender offer to acquire all of iPCS’ outstanding common shares for $24.00 per share. This price per share represents a 34 percent premium to iPCS’ closing stock price as of October 16, 2009. The agreement also requires a minimum of a majority of the shares outstanding (on a fully-diluted basis) to be tendered in the offer.

Linktone Enters into Mobile Video Agreement with China National Radio Mobile Media

Linktone Ltd. (Nasdaq: LTON), one of the leading providers of wireless interactive entertainment products and services to consumers in China, today announced that the Company has entered into a mobile video agreement to make video highlights of Major League Baseball (MLB) games available to customers in China with China National Radio Mobile Media (Beijing) Co. Ltd. ("CNRMM"). CNRMM is one of four companies licensed to provide video content to mobile phone users in China and a subsidiary of China National Radio, the national radio station of the People's Republic of China.

Under the terms of the agreement with CNRMM, beginning with the 2009 MLB World Series on October 28th, Linktone will provide daily video highlights from the Fall Classic to CNRMM's subscribers, who will be able to access the content via China Mobile's Monternet mobile video platform. Beginning in April 2010, the MLB video highlights provided by Linktone to CNRMM customers are expected to be expanded to include regular season games for all 30 MLB Clubs.
